ICommander General Terms and Conditions

1. ICommander Software License Agreement: Use of ICommander Software is subject to the terms of the ICommander Software License Agreement of ICommander Corporation.

2. Software Prices Do Not Include Staff Time: Software prices do not include any staff time for installation or other services by ICommander Corporation staff.

3. Annual Support Access Fee: An Annual Support Access fee of $75 for each licensed ICommander Software System plus $40 per user for the total licensed user count is payable annually on October 31. The ICommander Core System is counted as one of the licensed systems. Prompt payment of the Annual Support Access Fee is required for provision of periodic updates and support.
There is no additional cost for regular periodic updates to all customers. Training or other assistance needed in connection with updates is billed at standard hourly rates for the time required.

4. Charges for Support Time: Support is charged on the basis of actual time at standard hourly billing rates. Charges are billed directly to the customer if ICommander Corporation is engaged to provide ongoing combined software and accounting support. If a reseller or other third-party is engaged for support, charges will be billed to such third-party unless otherwise requested when time is incurred.

5. Charges for Enhancements: Enhancements requested to the ICommander Software systems are made at no cost, if it is determined by ICommander developers that such enhancements are useful to many users and, if the decision of whether or not to develop the enhancements and the time-frame for doing so is at the discretion of ICommander developers. Enhancements specific to a particular customer are billed at standard hourly billing rates for the actual time required.
Unique or custom enhancements are maintained and supported as an extension of the general accounting application systems and may be fully or in part incorporated into the general systems or used in developing enhancements for other customers.

6. Charges for Other Services: Installation, implementation, and other services, including ongoing combined computer and accounting support are available directly from ICommander Corporation. Services available are discussed under the Services button on the ICommander website.

7. Changes in Operating Environment: Changes in operating environments and consolidation of systems are subject to the policies discussed in the ICommander Price Lists Notes. All programs and data files are compatible across all supported operating environments. As a result, the time cost for such changes is minimal and users will have little, if any, learning curve for the new environment.

8. Payment of Software License Fees: Software license fees are payable prior to installation. A license file which permits installation of licensed systems from ICommander installation media is provided upon receipt of payment.
The on-going right to use the software is granted upon receipt of payment and of a standard confirmation form acknowledging that the customer has been provided with a copy of the ICommander Software License Agreement.
